General terms and conditions of Velvet Elegance
Article 1: Parties and definitions
1. Velvet Elegance, registered with the Chamber of Commerce under number 95632719, located at Johan Cruijff Boulevard 83, 1101 DM, Amsterdam, the user of these general terms and conditions.

3. Client: the (potential) purchaser of services offered by Velvet Elegance.
4. Participant: the actual natural person utilizing the services offered by Velvet Elegance.
Article 2: Applicability
1. Velvet Elegance declares that these general terms and conditions apply to every offer made by Velvet Elegance and any agreements, whether arising from it or not, entered into between the parties. Unless the content of these terms has been modified and/or specific conditions have been agreed upon between the parties, these general terms and conditions will also apply to future contractual relationships between the parties.
2. Deviations from these terms and conditions are only valid if explicitly agreed upon in writing by both parties.
3. The general (purchase) terms and conditions of the Client are expressly rejected.
4. Third parties engaged by Velvet Elegance in the execution of the agreement may also invoke these general terms and conditions.
5. If one or more provisions (or parts thereof) of these general terms and conditions are void or annulled, the remaining provisions of these general terms and conditions shall remain in effect. In such a case, the parties will consult to agree on new provisions that replace the void or annulled provisions, ensuring that the purpose and intent of the original provisions are preserved as much as possible.
Article 3: Registration and formation of the agreement
1. Every offer, whether in the form of a quotation or otherwise, is entirely unconditional, non-binding, and revocable, with a validity period of 30 days unless otherwise stated in writing by Velvet Elegance.
2. An offer does not automatically apply to future assignments or extensions.
3. The prices stated on the website or in any other form of an offer are in Euros, inclusive of VAT, and subject to levies, surcharges, and other factors.
4. Apparent typographical errors and mistakes in the offer are not binding on Velvet Elegance.
5. The agreement is concluded when the Client accepts the quotation from Velvet Elegance and Velvet Elegance has confirmed the formation of the agreement in writing or when Velvet Elegance, or a third party on its behalf, has commenced execution of the agreement.
6. The agreement is explicitly entered into under the suspensive condition of adequate availability of (hired) personnel and/or location.
Article 4: Execution of the agreement
1. Velvet Elegance represents the interests of the Client within the scope of the assigned task. Velvet Elegance will execute the agreement to the best of its knowledge and ability, in accordance with the standards of good craftsmanship. The Client acknowledges that Velvet Elegance has artistic freedom in executing the agreement unless specific properties, functions, or wishes of the Client are explicitly outlined in the main agreement/quotation. All services provided by Velvet Elegance are based on a best-efforts obligation unless Velvet Elegance has explicitly committed to a specific result in the written agreement, and this result is clearly defined. Velvet Elegance has the right to execute any elements not explicitly described in the assignment according to its own technical and creative judgment. Therefore, the payment of fees is in no way dependent on the outcome of the assignment or the achieved result.
2. The Client must allow Velvet Elegance the opportunity to perform the assignment and is obliged to provide the necessary cooperation for the execution of the agreement.
3. Services will only be provided after the agreement has been concluded.
4. Velvet Elegance will make efforts to fulfill the agreement within the specified/estimated timeframe. However, this term is not final, meaning that the Client must first provide Velvet Elegance with a formal notice of default, allowing a reasonable and sufficient timeframe to comply before seeking any remedy.
5. Velvet Elegance reserves the right to change the location where the services are provided.
6. The Client acknowledges that the scheduling of the assignment may be affected if the parties decide to change the approach, methodology, or scope of the assignment during execution. If such changes arise at the Client’s request, Velvet Elegance will make the necessary adjustments accordingly. If this results in additional work, Velvet Elegance will charge the Client for these extra services as an additional assignment. Velvet Elegance is entitled to charge the Client for additional costs resulting from modifications unless the changes or additions are due to circumstances attributable to Velvet Elegance.
7. Velvet Elegance is free to have the assignment executed by third parties. Article 7:404 of the Dutch Civil Code is expressly excluded from this agreement.
Article 5: Prices, payment, and suspension
1. The offer has been established in mutual consultation. By entering into the agreement, both parties consider the prices to be reasonable and fair.
2. Unless otherwise agreed, the Client must pay the full amount in its entirety before the execution of the services.
3. If payment is made by invoice, the payment must be completed within 14 days of receiving the invoice via bank transfer.
4. If the agreed payment term is exceeded, Velvet Elegance is immediately entitled to charge the Client a late payment interest of 1% of the principal amount per month, as well as an amount for extrajudicial collection costs. The latter costs amount to 15% of the outstanding principal amount, with a minimum of EUR 100, excluding VAT.
5. A composite price quotation does not oblige Velvet Elegance to perform part of the assignment for a corresponding part of the stated price.
6. Without explicit written permission from Velvet Elegance, the Client is not allowed to apply set-off, suspension, or withholding in relation to the payment obligations.
7. Velvet Elegance reserves the right to refuse an assignment at any time without providing a reason.
8. Velvet Elegance may refuse a Participant without any obligation to provide further clarification. In the case of a permanent refusal, the Participant will be informed and requested not to make further contact.
9. The Client must indicate in writing, prior to the commencement of Velvet Elegance’s services, the method of payment. If this is not communicated, a bank transfer will be assumed. If the payment method differs at the time of payment, additional costs may be charged, up to 10% of the total amount of the assignment, including but not limited to administrative and banking fees.
10. If Velvet Elegance’s (hired) personnel travel to a location by public transport and it is not possible to return home without significant delays after completing the assignment—whereby the return travel time, including waiting time, is at least doubled compared to the outbound journey—the additional travel costs will be charged to the Client.
Article 6: Obligations of the client and participant
1. The Client shall enable Velvet Elegance to carry out the assignment and is obliged to provide the necessary cooperation for the execution of the agreement. This includes, but is not limited to:
a) Ensuring that Velvet Elegance receives all necessary information for the assignment in a timely manner, including details of any physical or mental limitations of the Participant(s) and other relevant particulars regarding the Participant.
If the service takes place at a location selected by the Client, the Client has additional obligations, including:
b) Providing a safe and clean space(s);
c) Ensuring that any work and/or deliveries performed by third parties, which do not fall within Velvet Elegance's assignment, are carried out in a timely manner so that they do not cause delays in the execution of the assignment;
d) Arranging the spaces in which the service will be provided in such a way that Velvet Elegance can start the assignment immediately upon arrival;
e) Ensuring that Velvet Elegance has sufficient access to transport, (safe) storage, and/or disposal of any necessary equipment;
f) Meeting the requirements set by Velvet Elegance regarding the location(s) where the services will be performed. These requirements include, but are not limited to, accommodations of at least four (4) stars in the case of a hotel, clean and well-maintained locations, and safe neighborhoods. Locations that do not meet the requirements include, but are not limited to: a car, rendezvous hotels, sex clubs, student housing, hostels, shelters, adult cinemas, or similar establishments.
2. Indien naar het oordeel van Velvet Elegance blijkt dat de omstandigheden ter plaatse dusdanig zijn dat de veiligheid niet kan worden gegarandeerd, de diensten van Velvet Elegance niet ongestoord kan plaatsvinden of er anderszins sprake is van belemmeringen in de uitvoering van de opdracht, zal de (te leveren) dienst door Velvet Elegance geen doorgang vinden of voortijdig worden gestaakt zonder dat hierdoor voor Opdrachtgever enige aanspraak op restitutie van betaalde gelden of vergoeding van schade ontstaat.
3. Opdrachtgever draagt uitdrukkelijk het risico voor schade die is veroorzaakt door:
a) Gebreken aan de (on)roerende zaken waaraan of waarin de opdracht wordt uitgevoerd;
b) Gebreken in materialen of hulpmiddelen die door Opdrachtgever ter beschikking zijn gesteld.
4. Het is Deelnemer verplicht om voortijdig Velvet Elegance op de hoogte te stellen met betrekking tot enige klachten/ongemakkelijkheden en/of uitvoeringshandelingen die niet uitgevoerd mogen worden. Denk hierbij aan spanning(en), bepaalde (seksuele) handelingen, etc. Indien er sprake is van een deze indicaties, heeft Velvet Elegance de mogelijkheid om de dienstverlening te staken/gedeeltelijk te staken.
5. Opdrachtgever dient Deelnemer op de hoogte te stellen van de algemene voorwaarden van Velvet Elegance door een kopie daarvan te verstrekken en Deelnemer dient zich daaraan te verbinden.
6. De Deelnemer dient zich bij alle gewenste handelingen door Deelnemer zich te vergewissen dat hij instemming heeft van het (ingehuurd) personeel van Velvet Elegance. Het (ingehuurd) personeel van Velvet Elegance c.q. Velvet Elegance kan de dienstverlening per direct staken als het voorgaande niet geschiedt, zonder dat Opdrachtgever en/of Deelnemer recht heeft op eventuele (schade)vergoeding.
7. Gezien de aard van de dienstverlening van Velvet Elegance is de mogelijk op verkrijgen van een SOA (Seksueel Overdraagbare Aandoening) door de Deelnemer niet uitgesloten. In het geval de Deelnemer (seksuele) handelingen verricht met het (ingehuurd) personeel van Velvet Elegance accepteert Deelnemer het risico op een eventuele verkrijging van een SOA (Seksueel Overdraagbare Aandoening) en zal zowel Velvet Elegance als het (ingehuurd) personeel van Velvet Elegance zowel in als buite rechte vrijwaren.
8. De Opdrachtgever en de Deelnemer dient het (ingehuurd) personeel van Velvet Elegance en Velvet Elegance – voorafgaand aan de te verrichten diensten – schriftelijk op de hoogte te stellen in het geval Deelnemer een SOA (Seksueel Overdraagbare Aandoening) heeft of redelijkerwijs dient te weten of begrijpen dat Deelnemer die heeft. Indien Opdrachtgever en/of Deelnemer in strijd handelt met het in dit lid bepaalde, is Opdrachtgever en/of Deelnemer Velvet Elegance een direct opeisbare boete verschuldigd van EUR. 25.000,- per overtreding, onverminderd het recht van Velvet Elegance om in plaats van de boete volledige schadevergoeding te vorderen.
9. In het geval de locatie van de werkzaamheden wordt gewijzigd, dient voor afstanden van meer dan één (1) kilometer gebruik te worden gemaakt van een auto. Gebruik van openbaar vervoer is niet toegestaan, tenzij dit voorafgaand aan de overeenkomt schriftelijk aan Velvet Elegance bekend is gemaakt.
10. De Opdrachtgever en/of de Deelnemer verklaart middels deze algemene voorwaarden dat de Deelnemer een leeftijd van 21 jaren heeft bereikt ten tijde van de dienstverlening van Velvet Elegance.
11. Tijdens de werkzaamheden mag de Deelnemer niet onder invloed zijn van alcohol en/of (soft)drugs en mag de Deelnemer geen overmatige hoeveelheden hiervan in zijn bezit hebben. Het is tevens verboden het (ingehuurd) personeel van Velvet Elegance aan te moedigen of te dwingen om alcohol of (soft)drugs te gebruiken.
12. In het geval het (ingehuurd) personeel van Velvet Elegance overnacht met de Deelnemer, is de Deelnemer gehouden om het (ingehuurd) personeel van Velvet Elegance ononderbroken te (laten) slapen, derhalve minimaal zeven (7) uur.
13. In het geval de duur van de werkzaamheden van het (ingehuurd) personeel van Velvet Elegance de 24 uur overschrijdt, heeft het (ingehuurd) personeel van Velvet Elegance recht op twee (2) uur privé-tijd, waardoor de Opdrachtgever betaald. Deze uren maken geen deel uit van de dienstverlening van het (ingehuurd) personeel van Velvet Elegance.
14. De Deelnemer draagt er zorg voor dat het (ingehuurd) personeel van Velvet Elegance bereikbaar blijft voor Velvet Elegance en het (ingehuurd) personeel toegang heeft tot internet.
15. De Deelnemer respecteert de anonimiteit van het (ingehuurd) personeel van Velvet Elegance en zal zich niet inspannen om die anonimiteit te doorbreken c.q. de identiteit van het (ingehuurd) personeel te achterhalen bijvoorbeeld middels het stellen van persoonlijke vragen of het bekijken van diens telefoon en/of (hand)tas.
16. De Deelnemer dient vooraf schriftelijk toestemming te vragen van zowel Velvet Elegance als haar (ingehuurd) personeel alvorens het (ingehuurd) personeel mee te nemen naar niet-openbare sociale gelegenheden.
17. Het is verboden om foto-, audio- of video-opnamen van het (ingehuurd) personeel te maken.
18. De Deelnemer dient het (ingehuurd) personeel van Velvet Elegance volledige privacy te gunnen tijdens toilet- en badkamerbezoek, persoonlijke telefoongesprekken en het tonen van het legitimatiebewijs van het (ingehuurd) personeel.
19. Indien Opdrachtgever en/of Deelnemer in strijd handelt met één van de voorgaande leden, is Opdrachtgever en/of Deelnemer Velvet Elegance een direct opeisbare boete verschuldigd van EUR. 10.000,- per overtreding, onverminderd het recht van Velvet Elegance om in plaats van de boete volledige schadevergoeding te vorderen.
2. If Velvet Elegance determines that the local conditions are such that safety cannot be guaranteed, that the services of Velvet Elegance cannot take place undisturbed, or that there are other obstacles preventing the execution of the assignment, the service will not proceed or will be terminated prematurely. In such cases, the Client shall have no right to any refund of payments made or compensation for damages.
3. The Client expressly bears the risk for damages caused by:
a) Defects in the movable or immovable property where or in which the assignment is carried out;
b) Defects in materials or equipment made available by the Client.
4. The Participant is required to inform Velvet Elegance in advance of any complaints, discomforts, or activities that may not be performed, such as specific tensions or certain (sexual) acts. If such indications arise, Velvet Elegance reserves the right to (partially) discontinue the service.
5. The Client must inform the Participant of the general terms and conditions of Velvet Elegance by providing a copy, and the Participant must agree to adhere to them.
6. The Participant must ensure that all desired actions are consented to by Velvet Elegance’s (hired) personnel. If this is not adhered to, Velvet Elegance or its (hired) personnel may immediately terminate the service without the Client or Participant being entitled to any (damage) compensation.
7. Given the nature of Velvet Elegance’s services, the possibility of contracting an STD (Sexually Transmitted Disease) by the Participant cannot be excluded. If the Participant engages in (sexual) activities with Velvet Elegance’s (hired) personnel, the Participant accepts the risk of potentially contracting an STD and indemnifies Velvet Elegance and its (hired) personnel from any liability, both legally and otherwise.
8. The Client and Participant must notify Velvet Elegance and its (hired) personnel in writing before the service if the Participant has an STD or reasonably knows or should know they have one. If the Client and/or Participant violates this provision, they shall owe Velvet Elegance an immediately payable penalty of EUR 25,000 per violation, without prejudice to Velvet Elegance’s right to claim full compensation instead of the penalty.
9. If the location of the assignment changes, any distance greater than one (1) kilometer must be covered by car. The use of public transportation is not permitted unless Velvet Elegance has been notified in writing before the agreement.
10. By accepting these general terms and conditions, the Client and/or Participant declares that the Participant is at least 21 years old at the time of the service provided by Velvet Elegance.
11. During the assignment, the Participant must not be under the influence of alcohol and/or (soft) drugs, nor possess excessive amounts of them. It is also prohibited to encourage or pressure Velvet Elegance’s (hired) personnel to consume alcohol or (soft) drugs.
12. If Velvet Elegance’s (hired) personnel stay overnight with the Participant, the Participant must ensure that they have uninterrupted sleep for at least seven (7) hours.
13. If the duration of the assignment exceeds 24 hours, Velvet Elegance’s (hired) personnel are entitled to two (2) hours of private time, which the Client must compensate. These hours are not part of Velvet Elegance’s (hired) personnel’s services.
14. The Participant must ensure that Velvet Elegance’s (hired) personnel remain reachable and have access to the internet.
15. The Participant must respect the anonymity of Velvet Elegance’s (hired) personnel and shall not attempt to breach this anonymity or uncover their identity, such as by asking personal questions or inspecting their phone and/or (hand)bag.
16. The Participant must obtain prior written permission from both Velvet Elegance and its (hired) personnel before taking them to non-public social events.
17. It is strictly prohibited to take photos, audio, or video recordings of Velvet Elegance’s (hired) personnel.
18. The Participant must respect the privacy of Velvet Elegance’s (hired) personnel during restroom and bathroom visits, personal phone calls, and when showing their identification.
19. If the Client and/or Participant violates any of the provisions above, they shall owe Velvet Elegance an immediately payable penalty of EUR 10,000 per violation, without prejudice to Velvet Elegance’s right to claim full compensation instead of the penalty.
Article 7: Modification, cancellation, and rescheduling
1. An assignment can be rescheduled free of charge up to 48 hours before the agreed date for private Clients and up to 7 days before the agreed date for business Clients. Rescheduling after this period incurs a 25% surcharge.
2. A Client may cancel an assignment free of charge up to 24 hours before the agreed date for private Clients and up to 7 days before the agreed date for business Clients. Cancellations after this period will incur a charge of 50% of the total fee.
3. Cancellations or rescheduling are only valid in written form. The date of cancellation or rescheduling is determined by the date Velvet Elegance receives the written request. Cancellation fees are due immediately upon cancellation.
4. Velvet Elegance reserves the right to cancel the service up to three days before the scheduled service. The Client will be notified immediately. Velvet Elegance will refund the fee paid by the Client. If the Client opts for an alternative service offered by Velvet Elegance, no refund will be issued.
5. If an assignment cannot proceed due to force majeure, Velvet Elegance will make reasonable efforts to find an alternative solution. If this is not possible, or if the assignment cannot take place permanently, Velvet Elegance will refund the assignment fee proportionally to the services rendered.
Force majeure includes, but is not limited to:
- Fire at the service location
- Illness or death of Velvet Elegance or its (hired) personnel
- Extreme weather or traffic conditions
- Government-imposed restrictions due to terrorism, epidemics, pandemics, etc.
Article 8: Recruitment, hiring, confidentiality, and intellectual roperty
1. The Client and/or Participant is not permitted to directly or indirectly approach the (hired) personnel associated with the service without prior written consent from Velvet Elegance, whether for existing services or similar services, without the involvement of Velvet Elegance.
2. All parties are obligated to maintain the confidentiality of any information obtained in the context of the agreement, except in cases where legal obligations require disclosure. Information is considered confidential if indicated as such by the other party or if this is evident from the nature of the information. Information regarding Velvet Elegance, including the names of (hired) personnel in any form, is explicitly classified as confidential and must be kept secret by the Client.
3. If the Client and/or Participant violates any of the provisions above, the Client and/or Participant shall owe Velvet Elegance an immediately payable penalty of EUR 10,000 per violation.
Article 9: Warranty and liability
1. Velvet Elegance does not provide any guarantees or commitments regarding the results to be achieved through the assignment.
2. The Client is required to inspect every delivery and execution, whether in phases or otherwise, immediately but no later than 24 hours after completion for compliance in terms of quantity and quality. If the performance does not meet the agreement and thus constitutes a defect, the Client must inform Velvet Elegance within 5 days of discovering or reasonably being able to discover the defect.
3. After being informed as stated in the previous clause, Velvet Elegance will reasonably repair or replace the defect free of charge. If neither of these remedies effectively resolves the defect, the Client has the right to partially or fully terminate the agreement concerning the defect. However, this does not entitle the Client to any compensation for damages from Velvet Elegance.
4. If the defect was caused by an error attributable to the Client, if the Client informed Velvet Elegance too late about the defect, if the Client confirmed the completion of a phase, or if the Client authorized the start of the next phase, all rights to repair, replacement, or potential termination as described in this article are forfeited. The burden of proof regarding the attribution of the error lies with the Client.
5. Velvet Elegance is only liable for direct damages suffered by the Client and only in cases of intentional misconduct or gross negligence.
6. If Velvet Elegance is liable towards the Client, such liability is limited to the amount paid out under Velvet Elegance’s professional/business liability insurance or other liability insurance. If no insurance claim is possible, liability is limited to the invoice amount charged by Velvet Elegance to the Client, plus 15%.
7. Except in cases of intentional misconduct or deliberate recklessness, Velvet Elegance is not liable for consequential damages, indirect damages, immaterial damages, delays, property damage, loss of goodwill, lost revenue, and/or lost profits.
8. The Client indemnifies Velvet Elegance against third-party damages arising from the agreement due to Velvet Elegance acting—including omissions—based on incorrect, incomplete, or delayed information, data, and documents provided by the Client.
9. Velvet Elegance is entitled to postpone the start of services belonging to a phase until the Client has formally approved the results of the preceding phase in writing.
10. The existence of a defect does not suspend the Client’s payment obligation.
11. In all cases, the period within which Velvet Elegance can be held liable for damages is limited to 12 months. If the Client suffers damages, they must immediately notify Velvet Elegance and take all reasonable measures to limit said damages as much as possible.
12. If the Participant suffers from complaints mentioned in Article 6 and did not notify Velvet Elegance in advance, Velvet Elegance is not liable for any resulting complaints or health consequences related to the service.
Article 10: Termination of the agreement

Velvet Elegance has the right to terminate the agreement with the Client with immediate effect for the future, by means of a written notification, without any prior notice of default, if:
a) The Client ceases operations, fully or partially liquidates the business, or significantly alters or transfers business activities to a third party without prior written consent from Velvet Elegance;
b) The Client is granted a suspension of payment, is declared bankrupt, applies for a debt restructuring arrangement, or is placed under guardianship or administration;
c) A seizure is imposed on a right belonging to the Client.

In the event of termination of the agreement, all outstanding payments owed by the Client to Velvet Elegance become immediately due and payable in full. If the work is not fully completed, the Client is required to pay a proportional amount of the total sum. No refunds will be issued for any remaining balances.
Article 11: Intellectual property rights
1. Velvet Elegance retains the rights and authorities granted to it under the Copyright Act and other intellectual property laws and regulations.
2. The images, logos, and photos used and displayed on the Velvet Elegance website are registered or unregistered intellectual property rights of Velvet Elegance or third parties and may not be used commercially without prior permission from the rights holder.
3. Without the explicit written consent of Velvet Elegance, it is prohibited to use, reproduce, or otherwise trade the provided information for commercial purposes.
4. The Client and/or Participant is obligated to maintain the confidentiality of any information obtained under the agreement, including information regarding the identity of Velvet Elegance’s (hired) personnel, except in cases where legal obligations require disclosure. Information is deemed confidential if it has been designated as such by the other party or if this is evident from its nature.
5. If the Client and/or Participant violates any provisions of this article, they shall owe Velvet Elegance an immediately payable penalty of EUR 10,000 per violation, without prejudice to Velvet Elegance’s right to claim full compensation for damages instead of the penalty.
Article 12: Jurisdiction, choice of law, and transfer of rights
1. Velvet Elegance is entitled to transfer its rights and obligations under this agreement to a third party. The Client may only transfer its rights and obligations to a third party with prior written consent from Velvet Elegance.
2. This agreement, as well as any other agreements concluded between the parties, shall be exclusively governed by Dutch law. If a legal obligation arises between the parties in the future that does not result from an agreement, Dutch law shall also apply to that obligation.
3. In the event of a dispute arising from the agreement, the exclusively competent court shall be the court in the district where Velvet Elegance has its (main) registered office. If a dispute arises between the parties concerning non-contractual obligations, the exclusively competent court shall also be the court in the district where Velvet Elegance has its main registered office.
